Wholesale Seller Application

Please read through the terms and conditions of this wholesale seller application.  Your approval as a wholesale representative of Whole Body Fuel is contingent on your acceptance and adherence to the following:

Wholesale Reseller Agreement

This Wholesale Reseller Agreement (the "Agreement") is made and entered into on the date of acceptance by the Reseller (defined below) and by Whole Body Fuel ("WBF").

  1. The term "Reseller" refers to the individual or entity that accepts this Agreement and is purchasing the WBF products (the "Products") for resale to its customers. Reseller is located in the state of Florida, specifically in Hillsborough County.
  2. Term and Termination. This Agreement shall commence on the date of acceptance by the Reseller and shall continue until terminated by either party upon thirty (30) days' written notice.
  3. Discount Schedule. Reseller shall be entitled to the discount schedule for the Products as set forth on WBF's website at wholebodyfuel.com. This discount schedule is subject to change at any time by WBF without notice to Reseller.
  4. Brand Protection. Reseller agrees to use the Products to protect and enhance the reputation and goodwill of WBF. Reseller will not make any false or misleading representations about the Products or engage in any conduct that could damage the reputation of WBF.
  5. Responsibility for Food Safety & Cooling Requirements. If Reseller is receiving the Products on behalf of another entity or individual, the Reseller is responsible for maintaining appropriate food safety & cooling standards to ensure the safe handling and storage of the Products.   6. Payments and Invoicing. Reseller shall pay for the Products at the time of order. Invoicing or terms, are available for clients that order more than $10,000 per month.
  7. Product Returns and Refunds. Reseller must contact WBF immediately about any complaints, problems, or concerns regarding our products. Due to handling variances impacting the product beyond our control, the Reseller may be eligible for product replacement or refund as long as WBF is notified in writing (info@wholebodyfuel.com) within 36 hrs of delivery.
  8. Confidentiality. Reseller shall maintain the confidentiality of all confidential information concerning WBF and its business, including but not limited to pricing, product development plans, and financial information. Reseller shall not disclose any such confidential information to any third party without the prior written consent of WBF.
  9. Indemnification. Reseller shall indemnify and hold harmless WBF and its affiliates, officers, directors, and employees from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with the Reseller's breach of this Agreement.
  10. Intellectual Property. Reseller shall not use any of WBF's trademarks or other intellectual property without the prior written consent of WBF.
  11. Limitation of Liability. In no event shall WBF be liable to Reseller for any indirect, incidental, consequential, or special damages, including but not limited to loss of profits or loss of business, even if WBF has been advised of the possibility of such damages.
  12. Dispute Resolution. Any dispute arising out of or in connection with this Agreement shall be resolved through mediation by the rules of the American Arbitration Association. If mediation is unsuccessful, the dispute shall be resolved through binding arbitration by the rules of the American Arbitration Association. The arbitration shall take place in Hillsborough County, Florida.
  13. Force Majeure. If either party is unable to fulfill its obligations under this Agreement due to circumstances beyond its control (including but not limited to natural disasters, pandemics, and acts of war), that party shall be excused from such obligations to the extent and for the duration of such inability.
  14. Assignment. Reseller shall not assign its rights or obligations under this Agreement to any third party without the prior written consent of WBF.
  15. Governing Law. This Agreement shall be governed by and construed by the laws of the state of Florida. Any legal action arising out of or related to this Agreement shall be brought in the Hillsborough County, Florida courts, and the parties hereby consent to the jurisdiction of such courts.
